Terms
These terms govern engagements between BRCN Group OÜ (trading as BRCN Studio) and clients. A specific written scope is agreed for every paid engagement; these general terms apply alongside that scope.
1. Services
BRCN Studio provides commercial activation services for Asian and European B2B companies entering new markets, personally run by Bircan Öztürk. Current offers:

Prices are starting points, exclude VAT, and exclude external legal, tax, accounting, notary, banking, IP, certification, incorporation, payroll and compliance costs unless explicitly agreed. Final scope and fee are confirmed in writing before any paid engagement begins.
2. Engagement process
Every engagement begins with a free, no-obligation intro call (approximately 60 minutes). If BRCN Studio and the prospective client agree there is a realistic fit, a written scope proposal follows, covering timeline, deliverables and fee. No paid engagement begins without a written scope agreed by both parties.
3. Fees and payment
Fees are as set out in the individual written scope for each engagement. Unless otherwise agreed in writing, a portion of the fee is payable upfront to secure the engagement, with the remainder due on a milestone or completion basis as specified in the scope document. Invoices are payable within 14 days unless otherwise stated. Late payment may result in suspension of active work until the account is settled.
4. Scope and boundaries
BRCN Studio provides commercial activation services only: partner identification, targeted outreach, first-call support, follow-up and market feedback. BRCN Studio does not act as legal representative, tax advisor, importer, distributor of record, EU Responsible Person, employer-of-record, banking intermediary or certification body. Regulated topics stay with the client’s own qualified specialists; BRCN Studio can coordinate introductions where useful, without taking on responsibility for that work. 6. Cancellation and changes
Either party may propose changes to an active scope; changes take effect only once agreed in writing by both sides. Cancellation terms (notice period, handling of work already performed, and any applicable fees) are set out in the individual written scope for each engagement, since these vary by engagement type and stage.
7. Liability
BRCN Studio / BRCN Group OÜ is liable for damages caused by intent or gross negligence without limitation. For ordinary negligence, liability is limited to foreseeable damage typical for this type of engagement, and to the total fees paid under the relevant scope, to the extent permitted by applicable law. BRCN Studio is not liable for indirect or consequential damages, including lost profits or lost business opportunities, except where mandatory law provides otherwise.
8. Governing law and jurisdiction
These terms are governed by the laws of Estonia, without regard to conflict-of-law principles. Any disputes not resolved informally are subject to the exclusive jurisdiction of the competent courts at the registered seat of BRCN Group OÜ, unless mandatory consumer-protection law provides otherwise.
9. Changes to these terms
These terms may be updated from time to time. The version in effect at the time a written scope is signed applies to that engagement. Continued use of this website after an update constitutes acceptance of the revised terms for future interactions.
